Terms of Service

These Terms of Service ("Terms") govern your use of the adgain service ("Service"), operated by WW Commerce("adgain", "we", "us"), a Dutch company registered in Amsterdam. By signing up or clicking "Accept" you agree to be bound by these Terms.

1. The Service

adgain connects to your Google Ads and Shopify accounts via OAuth, rolls up per-variant performance data to the product level, and lets you apply per-product and per-variant exclusions back to Google Ads. The product is described in more detail at adgain.io.

We work to keep the Service running but do not guarantee uninterrupted availability. Scheduled maintenance or third-party outages (Google Ads, Shopify, our hosting provider) can affect uptime.

2. Account & authentication

You must be 18 or older and authorised to act on behalf of the store you connect. You're responsible for keeping your account credentials secure and for everything that happens under your account.

3. Pricing & billing

• adgain uses a per-connected-store volume-discount model:
  • 1 store: $49 / store / month
  • 2 stores: $39 / store / month ($78 total)
  • 3+ stores: $29 / store / month ($87+ total, scaling linearly)
• Prices exclude VAT, which is added where applicable.
• Billing is monthly in advance. Adding or removing a store changes your next invoice; prorated differences appear as line items.
• 14-day free trialon first sign-up, no card required. You're only charged if you choose to continue after the trial.
• Failed payments: we'll email you and retry automatically. If the payment remains unsettled 14 days after the due date, we may suspend the Service; data is retained during suspension.

4. Cancellation & refunds

• Cancel any time from account settings or by emailing support@adgain.io.
• Cancellation is prorated to the day — you're refunded any unused portion of the current billing period.
• Data is permanently deleted within 30 days of cancellation (see the Privacy Policy).

5. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or copy the Service.
• Attempt to access accounts, data, or resources you're not authorised to.
• Use the Service to violate Google Ads policies, Shopify policies, or any applicable law.
• Resell, sublicense, or provide the Service as a hosted offering ("white-label") to third parties without a separate commercial agreement.
• Automate requests beyond what the product surfaces — i.e. use the UI, not scripts mimicking a browser.

6. Your data, your account

You retain ownership of all data you connect to adgain. We only process it to deliver the Service (see the Privacy Policy). Any exclusions we write to Google Ads on your behalf are scoped to the specific product / variant / campaign combinations you clicked in the UI. You can undo any exclusion from the same UI at any time.

7. Third-party services

adgain depends on Google Ads and Shopify APIs. Outages, breaking changes, or policy changes on those platforms can affect or temporarily degrade the Service. We are not liable for losses caused by third-party outages or enforcement actions against your Google Ads or Shopify account.

8. Disclaimer

The Service is provided "as is". adgain does not guarantee that using the product will improve your return on ad spend, conversion rate, or any other business metric. Product-level rollup and automated exclusions are tools; the business decision is yours.

9. Limitation of liability

To the maximum extent permitted by Dutch law, our aggregate liability arising out of or related to the Service — whether in contract, tort, or otherwise — is limited to the total fees you paid us in the 12 months immediately preceding the event giving rise to the claim. adgain is not liable for indirect, incidental, consequential, or lost profits.

10. Changes to the Service or these Terms

We may update the Service, including pricing, by giving at least 30 days' notice to your account email. If you don't agree to a change, you can cancel before it takes effect and we'll refund any unused paid time. Non-material changes (typo fixes, clarifying language) take effect when published.

11. Termination

You can cancel any time. We may suspend or terminate your account if you materially breach these Terms, or if continued service would cause us to breach Google Ads or Shopify policy. Before terminating for breach we'll give you a chance to fix the issue, except in cases of fraud or repeated abuse.

12. Governing law

These Terms are governed by the laws of the Netherlands. Any dispute that can't be resolved between us will be handled exclusively by the courts of Amsterdam.
